Introduction and Acceptance

Please read carefully these terms and conditions (hereinafter, “Participation Terms”) applicable to your participation in the Huntr security research program, (hereinafter “Huntr Program”) available at https://www.huntr.com/.

These Participation Terms are directed at contributors to the Huntr Program (“Contributors”).

These Participation Terms between Contributors and Palo Alto Networks, Inc. (“Huntr”, “Palo Alto Networks”, or “we”), as updated from time to time, together with our Privacy Statement, Engagement rules, and policies referred to herein (collectively, the “Agreement”), govern your access to and use of the Huntr Program as a Contributor.

We desire to support the discovery of novel AI security issues by means of incentivization, through promotion and prizes via the Huntr Program.

By registering and participating in the Huntr Program as a Contributor, you agree to be bound by these Participation Terms. Failure to comply with any part of these Participation Terms may result in the termination of your account. As a Contributor you affirm you are fully capable and empowered, being over 18 years old and you have your own bank account, to enter into these Participation Terms.

Contributors and Huntr are jointly referred to as “Parties” and each as a “Party”.

1. Subject Matter and how the Huntr Program works

1.1 The Agreement regulates the terms under which Contributors participate in the Huntr Program and how we provide prizes to Contributors for participating with the Huntr Program.

1.2 We support AI security by rewarding Contributors for reporting security issues, as well as for the creation of code for detecting and/or reproducing security issues (“Contributions”).

1.3 Contributors are not employed by Palo Alto Networks, Inc. or any of its subsidiaries in any manner (either as employee or contractor), and the only compensation we pay out are prizes, which are paid at our discretion.

2. User Account

2.1 Registration. To become a Contributor, you must register online at https://huntr.com/. On registration, Contributors must provide true, accurate, current, and complete information about themselves (collectively, the “Registration Data”).

2.2 Contributors must also complete, depending on their condition, their payment information such as bank account, when requested, with the designated payment processor.

2.3 Unauthorized access. Contributors are responsible for any access and use of their account regardless of whether the activities were undertaken by them or a third party. Contributors agree to notify us immediately if they believe that an unauthorized third party may be using the account or if their account information is lost or stolen.

2.4 Data update. Contributors must maintain and promptly update the Registration Data to ensure that it remains true, accurate, current, and complete at all times. If we have reasonable grounds to suspect that your information is untrue, inaccurate, not current, or incomplete, we may suspend or terminate an account and/or disable and prohibit all current or future access. We will attempt to get in contact before doing this.

2.5 Data modification. Contributors can modify their own Registration Data, change their credentials, customize the notification system, and delete their account by getting in contact with us.

2.6 Huntr is not liable for any loss or damage from a Contributor’s failure to comply with this Section.

3. Program – General

3.1 We publish participation opportunities (hereinafter an “Engagement” or “Engagements”), as structured security research opportunities that Contributors may choose to participate in according to the rules of the chosen Engagement, which are made available on the respective Engagement’s webpage. Contributors participate in Engagements at their own discretion, understanding that any prizes available for participation are awarded at Huntr’s discretion. Contributors are not entitled to prizes in Engagements where the subject matter is software created or maintained by the Contributor (such as maintainers of open source software).

3.2 Participation: Contributors must submit their security research via the identified specific forms, email or other indicated channels on our website. Contributions are typically validated by Huntr, however, in certain cases, Contributions may be communicated to a third-party for review, such as maintainers of open source software. We are not responsible for the validation of Contributions made by such third-parties. In the event of any dispute between Contributors and such third parties regarding the validation of a Contribution, we will not be involved, and assume no liability.

3.3 Once a prize has been awarded to a Contributor, we will payout the amount of prize money allocated to the respective Contributor in accordance with these Participation Terms. Huntr’s decision to pay out any prize is final, and Contributors agree that they will not dispute this decision.

3.4 We reserve the right to offer Engagements with determined prize amounts. We also reserve the right to unilaterally change the prize amounts if the system quotes the wrong prize amount or the prize is otherwise corrected or updated by us prior to a prize being awarded. Outside the foreseen cases, no change in the prize shall be effective unless there is a manifest error in setting the prize amount.

4. Contributors Rights and Obligations

4.1 Contributors must follow guidelines of performance details as stated in these Participation Terms.

4.2 Contributors must follow and comply with a respective Engagement’s rules in order to receive prizes associated with the Engagement.

4.3 Contributors must comply with all relevant laws while participating in Engagements and the Huntr Program. In particular, Contributors must make sure their reports, actions and Contributions do not infringe or violate any third party’s intellectual property rights, privacy and data protection rights or any other applicable law or regulation.

4.4 Contributors agree that with regard to a Contribution, we shall have the period of exclusivity set out in the Engagement rules. Contributors shall not post the submission on any other platform or medium of communication, unless approved by us in writing. In the event of breach of this provision, the Contributor forfeits his/her right to the corresponding prize and his/her account may be suspended or terminated by us.

5. Payment of prizes; taxation.

5.1 Payment of a prize will be granted according to the Engagement rules after (a) correct submission of a Contribution and (b) subsequent validation of the Contribution. Payment may take up to two months, and is subject to compliance by the corresponding Contributor with the Agreement.

5.2 All payments of prizes will be made to the accounts set out in their payment information.

5.3 Payment of a prize may be delayed in the event of any investigation into the validity of the Contribution. Payment may be withheld in the event that Huntr has reasonable belief that Contribution is not valid or is made fraudulently or in breach of these Participation Terms and/or the respective Engagement’s rules.

5.4. We will pay out prizes to Contributors at the end of each month, based on the amount earned by each Contributor. The payments will be made to the payments accounts provided by the Contributor (or the legal representative if applicable). We are not responsible for payments made to a bank account that is not owned by the Contributor when such payment information has been provided by the Contributor through a payment processor as described below.

We inform Contributors receiving prizes that these payments may be considered taxable income depending on the country which you are receiving them. Please check the legal conditions in your country in relation to the income received from your Contributions.

The Contributor, the first time they earn a prize, will receive an email requesting them to create a Stripe Connect account, in which they must provide the information requested by Stripe to verify their identity and provide their payment information. Once the account has been verified and the information has been provided, the Contributor will receive a payout confirmation email, with all the details of the payment. The following months the Contributor will automatically receive an email confirming the payout details.

Stripe Connect supports payouts to most countries, it is therefore essential that the Contributor is domiciled in one of the identified countries. You can see the full list of supported countries here:

The Contributor agrees to the use of Stripe Connect for this purpose, under their terms of service and subject to their privacy policy. If the Contributor’s country is not in the list of countries supported by Stripe Connect, we will not be able to process a payout to a Contributor, but instead can offer to donate the payout to charity.

5.5 We reserve the right to change the financing platform, method, and means of paying prizes.

5.6 Paid-out prizes are not refundable, however if Huntr becomes aware of any fraudulent or bad faith use of the platform, we will use reasonable efforts to recover prizes paid-out to Contributors under false pretences, or on the basis of negligence or wilful misconduct and/or misinformation of Contributors. Any Contributor involved in such activities may be suspended and their account terminated at Huntr's discretion.

5.7 When a Contribution has been validated, Huntr emails the Contributor with notice of validation and later, a request for payment information. Contributors may waive the payment; contact us via email to so waive. If the Contributor does not respond to the notification, no payment will be made. If the Contributor does not provide valid payment information, per our’s and Stripe’s requirements, within 12 months from notification, the Contributor is deemed to waive the payment and the corresponding prize will be declared void.

5.8 In the event a Contribution was made by a Contributor in collaboration with others, the Contributor shall be solely responsible for (a) obtaining the necessary rights to make the report, and (b) sharing any monies received hereunder from Huntr for the validated Contribution with these third parties pursuant to any possible agreements entered with them. Contributors must notify this situation to Huntr to take the appropriate measures.

5.9 We shall not pay any taxes or make any withholding on bounty payments unless required by applicable law. Contributors are fully responsible for paying taxes on their income and agree to indemnify and hold Huntr harmless against any claims for taxation and related sanctions made by any taxation or judicial authorities.

6. Data protection

6.1 All personal data collected as part of the Huntr Program are processed in accordance with our Privacy Statement, which terms are incorporated herein. (The Privacy Statement is found at https://www.paloaltonetworks.com/legal-notices/privacy )

7. Intellectual Property Rights

7.1 Subject to Section 7.2 below, Contributors assign to Palo Alto Networks, Inc. on a worldwide, perpetual, irrevocable, and exclusive basis all their intellectual property rights (including copyrights and know-how) in and to all and any Contribution and/or related information provided by Contributors (the “Vulnerability Information”, including without limitation bug fixes and other software code), including all rights to reproduce, modify, distribute, commercialize, incorporate into products, and communicate the Contribution and Vulnearability Information for any purpose and to any party.

7.2 Contributors retain the non-exclusive right to use the Contribution for non-commercial research and educational purposes. Contributors expressly agree not to disclose any Contribution to any third party.

7.3 We may share the Contribution with third parties as we deem necessary or desirable.

8. Warranties

8.1 We will make commercially reasonable efforts to review Contributions made to Engagements in a timely manner.

8.2 Contributors warrant that their actions in participating with Engagements (including, without limitation, that their Contributions) do not and will not infringe or violate any third party’s intellectual property rights, privacy and data protection rights or any other applicable law or regulation.

8.3 We make no warranties regarding the processing of Contributions by third-parties, nor that prizes will be paid out unless in accordance with these Participation Terms.

8.4 Except as expressly set out in Section 8.1, to the maximum extent permitted by applicable law, Huntr makes no representations or warranties regarding the Huntr Program and Engagements, including any warranties as to satisfactory quality or fitness for purpose.

9. Liabilities

9.1 NEITHER PARTY WILL BE LIABLE TO THE OTHER PARTY FOR SPECIAL, INDIRECT, INCIDENTAL, OR PUNITIVE DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. HUNTR’S MAXIMUM LIABILITY UNDER THIS AGREEMENT SHALL BE THE AMOUNT PAYABLE BY HUNTR UNDER THE HUNTR PROGRAM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH DAMAGES. THE FOREGOING LIABILITY LIMITATIONS SHALL NOT APPLY TO: I) DAMAGES OCCASIONED BY WILLFUL MISCONDUCT OR GROSS NEGLIGENCE; OR II) INDEMNIFICATION OBLIGATIONS UNDER SECTION 9.2.

9.2 Contributors agree to defend, indemnify and hold Palo Alto Networks, Inc. (and its affiliates and subsidiaries, and its and their respective employees and officers) harmless from any and all claims, actions, demands, damages (direct or indirect), liabilities, costs and expenses, including attorneys’ fees of any kind or nature, known and unknown, arising from out of or in any way connected with (a) a dispute between Huntr and the Contributor, (b) any false or incorrect information provided by the Contributor to Huntr in the Registration Data or (c) false or incorrect information provided by Contributors (d) breach by a Contributor of his/her representations, warranties and covenants hereunder, and (e) breach by a Contributor of any law or third party right, (f) any claim of infringement of any patent, copyright, trademark, trade secret or other proprietary right relating to contributions by a Contributor; (g) any claim of misappropriation of confidential or proprietary information alleged to have occurred because of Huntr’s (or its designated representatives) use of the contributions, documentation or other materials provided by Contributor.

10. Term and Termination

10.1 These Participation Terms will be effective from the day of acceptance by Huntr of the Contributor’s registration and will be in force until terminated hereunder.

10.2 These Participation Terms may be terminated without cause by a Contributor at any time on thirty (30) day’s prior written notice to Huntr at the address set out above or email to support@huntr.com, however termination will not affect payments made before termination nor any rights and obligations or liabilities surviving termination.

10.3 These Participation Terms may be terminated on written notice by a non-breaching Party in the event of material breach of a term of this Agreement by the other, and that breach has not been remedied within thirty (30) days of being notified of the breach by the non-breaching Party.

10.4 Notwithstanding termination rights, Huntr may suspend a Contributor's account (and payment of any bounties) in the event of any breach of these terms by the Contributor, and Huntr will notify the same to Contributor at the email set out on registration.

10.5 Contributors acknowledge and agree that any rights, assignments and licenses referred to Contributions, remain valid and in full effect and continue perpetually even after this Agreement has been terminated between the Contributor and Huntr.

11. General Provisions

11.1 These Participation Terms set forth the entire understanding of the parties. These Participation Terms supersede all prior or simultaneous representations, discussions, negotiations, letters, proposals, agreements and understandings between the parties hereto whether written or oral.

11.2 No amendment to these Participation Terms shall be effective unless made in text form and communicated to the Contributor. The same applies to a waiver to any clause or right hereunder.

11.3 If any provision of this Participation Terms is or becomes invalid, this shall not affect the validity of the remainder of the Participation Terms.

11.4 All notices hereunder must be in writing and will be effective if sent to:

11.4.2 To the Contributor: at the email addresses indicated in the registration data.

Email notifications are effective only if receipt is confirmed.

11.5 These Participation Terms may be updated from time to time by Huntr, and notification provided to you. Any participation after notification of changes indicates your acceptance of the modified terms. If you do not agree to the modification, you may terminate these Participation Terms in accordance with the terms set forth herein, and cease acting as a Contributor.

11.6 These Participation Terms shall be governed by and construed in accordance with the laws of the State of California, U.S.A., excluding any conflicts of laws principles.

11.7 All disputes arising out of or in connection with these Participation Terms shall be subject to the exclusive personal jurisdiction and venue of the state and federal courts of Santa Clara County, State of California, U.S.A..

11.8 The Parties agree that they will use good faith attempts to amicably resolve any such dispute during a period of 30 days’ from written notice by one party to the other of a dispute, and that they will not submit any judicial claim during that 30 day period.

11.9 The parties are independent contractors. Neither party is an employee, agent, representative, joint venturer, or partner of the other party. Neither party shall have any right, power or authority to enter into any agreement for or on behalf of, or incur any obligation or liability for, or to otherwise bind, the other party.
